On May. 31, 2012, Anhui Conch Cement Company Limited convened the 2011 annual General Meeting of Shareholders in Company’s conference room in Wuhu. Shareholder representatives, directors, supervisors and the senior management team of the company attended this meeting. More than 30 representatives of the investment institutions, such as Huaan Fund, Jiashi Fund attended the meeting.
  The meeting reviewed and voted 8 proposals¬-Report of 2011 Annual Board of Directors, Report of 2011 Annual Board of Supervisors, Report of 2011 Annual Financial Audits, Proposal of electing MR. HUANG Guanyin as the Independent Non-Executive Director, Proposal of further employing Auditors of Mainland and Hongkong and authorizing Board of Director to determine their remuneration, Profit Distribution Scheme of 2011, Proposal of amending Company Constitution, Proposal of authorizing Board of Director to determine the ration of overseas listing foreign stocks. The meeting debriefed the Progress Report of the independent directors.
